Statement of Rights and Responsibilities

This website is owned by the Willow Glen Business Association and operated for the primary purpose of promoting the downtown Willow Glen business district, its member businesses, and secondarily to provide the Willow Glen community a venue to promote its events. As a benefit to member businesses, WGBA allows each business to promote its business by posting news, a business profile and events related to the business. Access to post to this website is supplied through a specially arranged interface provided through socialwave.net.

This Statement of Rights and Responsibilities governs our relationship with users who post on the Willow Glen Business Association (WGBA) website. By submitting content to the WGBA site, you agree to this Statement. If you do not agree to these terms, you may choose to unpublish your posting to the WGBA website from socialwave.net or delete your posting entirely.

The terms and conditions below govern your access to and use of the Willow Glen Business Association's (WGBA) websites, applications, products, and services (collectively, the "Site") . The Terms of Service constitute a legal agreement between you and WGBA. You agree to the Terms of Service by accessing or using the Site. Do not access or use the Site if you are unwilling or unable to be bound by the Terms of Service.

1. Definitions.

   1. A "user" is someone who accesses, browses, crawls, scrapes, or in any way uses the Site. The terms "you" and "your" refer to you, as a user of the Site. The terms "we", "us", "our", and "WGBA" refer to Willow Glen Business Association, a California corporation.
   2. "Content" means text, images, photos, audio, video, and all other forms of data or communication. "Your Content" means Content that you submit or transmit to or through the Site, such as news, events, photos, images and information that you display as part of your account profile.

2. Eligibility

   You represent and warrant that you (a) are an active member of the Willow Glen Business Association; (b) are not a direct competitor of the Willow Glen Business Association; (c) that you are the business or property owner (or representative) and have full power and authority to enter into these Terms of Service.

3. Changes to the Terms of Service.

   We may modify the Terms of Service from time to time. When changes are made, we will notify you by making the revised version available and will indicate at the top of this page the date that revisions were last made. Any such modification will be effective upon our posting of new Terms of Service. You understand and agree that your continued access to or use of the Site after any posted modification to the Terms of Service indicates your acceptance of the modification.

4. Responsibility for Your Content.

   You alone are responsible for the information in Your Content. You assume all risks associated with Your Content, including anyone's reliance on its accuracy and completeness. You represent that you own, or have the necessary permissions to use, and authorize the use of, Your Content. You may not imply that Your Content is in any way sponsored or endorsed by WGBA. Content related to events, activities or news items must contain identifying information such as: business presenting the event, business address, and contact information for the public. Content must serve to promote only your business.

5. Use of Content.

   Administrators for WGBA related areas on socialwave.net may edit (for grammar, spelling, writing style and clarification), remove, or reinstate User Content from time to time their sole discretion. For example, contents may be removed if we believe it violates our terms such as missing information (presenting business, time, address, etc.). Neither the WGBA nor Social Wave have an obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content.

6. Site Availability.

   We reserve the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability.

7. Unauthorized Access.

   We reserve the right to exercise whatever lawful means we deem necessary to prevent unauthorized access to or use of the Site.

8. Termination of Privileges.

   We may terminate or suspend your access to post content to this website at our sole discretion, for any or no reason, and without notice or liability of any kind.

9. Ownership.

   We own the WGBA Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation and all other elements and components of the Site excluding User Content and Third Party Content. As such, you may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the WGBA Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Site and the WGBA Content are retained by us.

10. Indemnity.

    You agree to indemnify and hold WGBA, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party due to or arising out of (i) your access to or use of the Site, (ii) your violation of the Terms of Service, or (iii) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. WGBA reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of WGBA. WGBA will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
